Started working on this Car. Its got the Fuel Injected 5.0. The Topside of the engine is covered in soot. Would the EGR Valve be causing this?.

The Previous Owner said the car would not get up to speed and from the looks of the Air Filter/Plugs it appears to have been injesting this Soot. (Got the car for free, trying to get it running. it has been sitting awhile.)

After This, I get to dig into the '84 Mercury Marquis we also got for free.

The "soot" could be the underhood insulation falling apart. I recall those using a fiberglass mat type stuff that will decay to dust (carbon looking stuff). I would start the engine diagnostic with a compression test.

i don't think so, the Engine is covered, the top is solid black, the throttle body as well as the bottom of the Air Cleaner (the Top of the Air cleaner is fairly clean.)

Is this a CFI installation with the EGR plate under the throttle body? If the soot is actually carbon, the EGR spacer plate may have been eaten through or the EGR mounting gasket failed, letting carbon spill onto the engine.

You might also check the THERMACTOR check valves as this would also allow exhuast gases to be sprayed onto the engine and also be introduced into the thermactor pump possibly causing a fire.

my 88 LTD's insulation is missing will it damage the paint on the hood if i just leave it?

The Insulation is gone of the hood of this car as well.. The problem was the tube running between the heads, behind the Throttle body and EGR Valve. repaired it, sold the car for $400 (made $350 profit.)
